Terms of Service
1. Agreement
These Terms of Service ("Terms") are an agreement between you and KLOS INC., an Ontario corporation ("Klōs", "we", "us"). They govern your use of the Klōs mobile application and related services (the "Service").
By creating an account or using the Service, you agree to these Terms, to our Privacy Policy, and to our Community Guidelines, which are incorporated by reference. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use Klōs. By using the Service you represent that you are 18 or older, that you have the capacity to enter into this agreement, and that you are not barred from using the Service under the laws of your jurisdiction.
Klōs is invitation-based. Access may require an invitation from an existing member or approval of an application. We may decline, limit, or revoke access at our discretion.
3. Your account
You are responsible for your account and for everything done through it. Keep your credentials secure and tell us promptly at info@joinklos.com if you believe your account has been compromised.
You must provide accurate information about yourself, including your real name and an accurate description of what you do. Klōs works only if members can trust that people are who they say they are. Impersonating another person, or materially misrepresenting your identity, work, or affiliations, is a violation of these Terms.
One person, one account. Do not create an account on behalf of someone else without their authorization, and do not transfer or sell your account.
4. How introductions work
Klōs surfaces people in your extended network and lets you ask a mutual connection to introduce you. When you request an introduction, the mutual connection is told who you are and what you are asking for, and may accept or decline. If they accept, a conversation is created between you, the mutual connection, and the person you asked to meet.
We do not guarantee that any introduction will be made, accepted, or lead to anything. We do not vouch for any member, verify anyone's claims about themselves, or take responsibility for what members do with an introduction. Meeting, transacting with, or working with someone you met through Klōs is your decision and your risk.
5. Your content
You keep ownership of everything you post. By posting content to the Service, you grant KLOS INC. a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute that content for the purpose of operating and improving the Service. This licence ends when you delete the content or your account, except for copies retained as described in the Privacy Policy and for content already shared with other members.
You are responsible for your content. You represent that you have the rights to post it and that it does not infringe anyone else's rights or break the law.
6. Acceptable use
You agree not to:
- post content that violates our Community Guidelines;
- harass, threaten, defame, or abuse any person;
- impersonate any person or misrepresent your affiliation;
- use the Service to send unsolicited commercial messages, recruit for schemes, or spam other members;
- collect, scrape, or harvest information about members, whether manually or by automated means;
- reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law;
- interfere with, disrupt, or place unreasonable load on the Service or its infrastructure;
- access the Service by any means other than the interfaces we provide, or circumvent any access control, rate limit, or security measure;
- use the Service for any unlawful purpose or in violation of any applicable law.
7. Reporting and enforcement
We provide tools to report content and to block other members. We review reports and act on them. There is no tolerance for objectionable content or abusive members: we will remove objectionable content and eject members who post it, and we act on reports within 24 hours.
We may remove content, suspend an account, or terminate access at our discretion, with or without notice, including for conduct we consider harmful to other members or to the Service.
8. Termination
You may stop using the Service at any time and may delete your account from Settings in the app. Deletion is permanent.
We may suspend or terminate your access at any time, for any reason, including inactivity or violation of these Terms. Sections that by their nature should survive termination will survive, including Sections 5 (as to licences already granted), 9, 10, 11, 12, and 13.
9. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content is accurate. We are not responsible for the conduct of any member, online or offline, or for any interaction, meeting, agreement, or transaction between members.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
10. Limitation of liability
To the maximum extent permitted by law, KLOS INC. and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability arising out of or related to the Service will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100).
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.
11. Indemnity
You agree to indemnify and hold harmless KLOS INC. and its directors, officers, employees, and agents from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your content, your use of the Service, your violation of these Terms, or your violation of the rights of any other person.
12. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of laws principles.
You and KLOS INC. agree to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto, for any dispute arising out of or relating to these Terms or the Service. Nothing in this section limits any right you may have to bring a complaint before a consumer protection authority in your jurisdiction where that right cannot be waived.
13. Changes
We may change these Terms. If a change is material, we will notify you in the app or by email before it takes effect. Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Service and delete your account.
14. General
These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
15. Apple
You acknowledge that these Terms are between you and KLOS INC. only, and not with Apple Inc. Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support for the Service. Apple is not responsible for addressing any claim relating to the Service, including product liability claims, consumer protection claims, or claims of intellectual property infringement. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
